Terms and Conditions of Sale

All orders are subject to WHITLIEJO credit approval and acceptance. No assignment of Buyer rights is allowed without written consent.

Prices are subject to change without notice. Clerical or stenographic errors are subject to correction.

Payments must be made in U.S. funds, Net 30 days. WHITLIEJO may require advance payment if Buyer financial condition warrants it.

Buyer must pay all sales, use, excise, or other taxes imposed by law.

All shipments are F.O.B. WHITLIEJO facility. Claims for shortages must be made within 10 days.

Shipping dates are estimates. WHITLIEJO is not liable for delays caused by supply chain or uncontrollable events.

Orders may be cancelled or delayed only with written approval and may incur adjustment charges. Special items cannot be cancelled once in production.

Returns require written authorization (RMA). Handling, freight, and reconditioning charges may apply.

Products are warranted for one (1) year against manufacturing defects. Remedies are limited to replacement or refund of purchase price.

WHITLIEJO is not liable for consequential, indirect, or special damages.

Buyer agrees to indemnify WHITLIEJO for patent infringement related to Buyer-supplied designs.

WHITLIEJO is not responsible for delays caused by events beyond its control, including natural disasters, labor strikes, war, or regulatory actions.

These terms are governed by the laws of the State of Louisiana.

Failure of WHITLIEJO to enforce provisions does not constitute a waiver of rights.
